1. Introduction
These Terms, Conditions & Disclaimer (“Terms”) govern your use of the Buzz Clique website located at buzzclique.com and the purchase or use of any services offered by Buzz Clique LLC (“Buzz Clique,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms in full. If you do not agree with any part of these Terms, please do not use our website or engage our services.
These Terms should be read alongside our Privacy & Cookies Policy, our Refund & Cancellation Policy, and our Acceptable Use Policy, all of which are incorporated by reference and form part of the overall agreement between you and Buzz Clique.
2. Services
Buzz Clique is a full-service digital agency providing a range of services to small and medium-sized businesses located in the United States. Our services may include, but are not limited to:
- Website design, development, and migration
- WordPress maintenance, security, and care plans
- Hosting, email, domain registration, and related infrastructure services provided through our reseller partnership with GoDaddy
- Search engine optimization (SEO) and content services
- Google Ads, paid media, and digital advertising management
- Reporting, analytics, and performance tracking
- AI-assisted content, automation, and related services
- Strategic consulting and digital marketing support
The specific services provided to you will be outlined at the time of engagement or purchase.
Scope of Services and Change Requests
Services are limited to the scope described in the applicable proposal, invoice, checkout page, service description, or written agreement. Requests outside the agreed scope may require a separate quote, change order, additional fee, or adjusted timeline. Buzz Clique is not obligated to perform work outside the agreed scope unless the additional work has been accepted in writing.
We reserve the right to modify, suspend, or discontinue any service or offering at any time with reasonable notice to affected clients. We also reserve the right to decline, suspend, or discontinue service where we determine, in our reasonable discretion, that a service request presents legal, security, operational, platform, reputational, payment, or service-fit concerns, subject to applicable law and any separate written agreement.
3. Service Brands and Fulfillment
Buzz Clique may operate, support, or fulfill some services through affiliated service brands, including Momentium AI for AI-assisted content and automation services. Some Buzz Clique services may be fulfilled, supported, operated, or branded through one or more affiliated brands.
Unless a separate written agreement states otherwise, purchases invoiced by Buzz Clique are governed by these Terms, even where a service is described as powered by, supported by, or fulfilled through an affiliated brand. Where a client purchases services directly from an affiliated brand, those purchases are governed by that brand’s own published terms.
4. Third-Party Platforms, Accounts, and Services
Many services provided by Buzz Clique depend on third-party platforms, including but not limited to hosting providers, domain registrars, email providers, advertising platforms, analytics tools, payment processors, WordPress plugins, AI tools, CRM systems, scheduling tools, social media platforms, and other software providers. Clients are responsible for complying with the terms, policies, billing requirements, and account rules of those third-party platforms.
Buzz Clique is not responsible for account suspensions, service interruptions, price changes, policy changes, data loss, platform limitations, billing decisions, rejected ads, email deliverability issues, renewal failures, or enforcement actions taken by third-party providers. Where possible, Buzz Clique will make reasonable efforts to assist clients in resolving issues with third-party platforms, but we do not control those platforms or guarantee their continued availability, performance, approval, or support of any client account, content, campaign, or service.
5. Payment Terms
One-Time Services
For standalone or one-time services, payment is due in full upon the conclusion of the completed work unless otherwise agreed upon in writing prior to the commencement of work.
Project-Based Services
For larger projects, we may require a deposit of fifty percent (50%) of the total project cost before any work begins. The remaining fifty percent (50%) is due upon completion of the project and before final deliverables are transferred or made live.
Monthly Services
Monthly service plans are prepaid. Payment for each month of service is due before that month of service begins. A new billing cycle and payment will be required before each subsequent month of service is initiated.
Annual Services
Annual service plans require payment in full before any work or services are initiated. Annual plans are offered at a discounted rate equivalent to ten (10) months of service billed at the standard monthly rate, providing two (2) months of service at no additional charge. To qualify for and retain the annual discount, a minimum of ten (10) months of service must be completed under that annual plan.
If an annual plan is canceled before ten (10) months of service have been completed, the annual discount will be forfeited. The standard non-discounted monthly rate will be applied to each month of service used. Any partial month of service will be treated as a full month for this calculation. Any amount paid in excess of the recalculated total may be refunded or applied as an account credit at our discretion, subject to applicable law, any third-party provider terms, and the Refund & Cancellation Policy.

Hosting, Email, and Domain Services
Hosting, email, domain, and related infrastructure services offered by Buzz Clique are sold under Buzz Clique pricing and branding but are operated and supported through our reseller partnership with GoDaddy. Depending on how the service is purchased, payments for hosting, email, domain, and related reseller services may be processed through GoDaddy, a GoDaddy-affiliated checkout, or another approved payment processor. Charges may appear under a Buzz Clique, GoDaddy, or related payment descriptor depending on the purchase path. Renewal cycles, billing intervals, and payment methods for these services are determined by the underlying platform and the option you select at the time of purchase.
Accepted Payment Methods
We accept multiple forms of payment depending on the nature of the service. Payments for eligible services billed directly by Buzz Clique may be made online through our ecommerce store using a credit or debit card. Clients may also elect, where applicable, to be invoiced and submit payment by business or company check, or via electronic bank-to-bank transfer through ACH (Automated Clearing House) payment, including through supported platforms such as Bill.com. Payments for hosting, email, domain, and related reseller services may be processed through GoDaddy, a GoDaddy-affiliated checkout, or another approved payment processor as described above. The payment methods available to you will be presented at the time of purchase, invoicing, or service agreement.
6. Late Payments and Service Suspension
If a payment for services billed by Buzz Clique is not received by its due date, a grace period of ten (10) days will be provided. If payment is not received within that grace period and no prior payment arrangement has been both requested by the client and formally accepted by Buzz Clique in writing, the applicable services for that billing period may be suspended.
Services suspended due to non-payment may be reactivated upon receipt of the outstanding payment in full, subject to any restart requirements, provider limitations, or third-party platform terms that may apply. Buzz Clique is not responsible for any issues, losses, or damages that occur during a period of service suspension resulting from non-payment.
Hosting, email, domain, and related reseller services billed through GoDaddy are subject to GoDaddy’s own payment, grace period, suspension, and reactivation policies. Failure to pay for those services may result in suspension or termination of the underlying service by GoDaddy independent of any action taken by Buzz Clique.
7. Service Reports
Clients on eligible active monthly or annual service plans may receive an executive summary report at the end of each calendar month detailing the status of their services and a summary of work performed during that period. Where included with the service plan, these reports are typically delivered within two to three (2–3) business days following the close of each calendar month.
These reports are provided for informational purposes and do not constitute a service level agreement or performance guarantee of any kind.
8. Service Level and Limitations
Buzz Clique does not offer formal service level agreements (SLAs). While we make every reasonable effort to provide timely and effective service, we do not guarantee specific response times, resolution times, or website uptime as part of our standard service offerings.
Plugin and Software Updates
As part of our maintenance services, we may perform updates to WordPress core software, themes, and third-party plugins. Because we do not develop these third-party plugins or themes, we cannot guarantee that updates to them will not cause conflicts or issues with your website. Updates are typically released by developers to address known issues or improve performance, and we act in good faith by applying them as part of routine maintenance.
Where possible, we will test updates in a staging environment before applying them to your live website. For covered websites under applicable maintenance services, we generally maintain a minimum of ninety (90) days of cloud-based website backups that can be used to restore or roll back your website to a prior state, subject to backup availability, hosting/provider limitations, and the specific service plan purchased.
By engaging our services, you acknowledge and accept that third-party software updates carry an inherent risk and that Buzz Clique is not liable for issues caused by third-party plugin, theme, or software conflicts, provided we have acted in good faith and made reasonable efforts to test and mitigate those risks.
Hosting, Email, and Domain Services
Hosting, email, domain, and related infrastructure services offered by Buzz Clique are operated, hosted, and supported by GoDaddy under our reseller partnership. Use of these services is also subject to GoDaddy’s Universal Terms of Service and any applicable product-specific agreements published by GoDaddy.
Buzz Clique does not control all decisions related to server uptime, network performance, email deliverability, spam filtering, DNS resolution, registrar policies, renewal cycles, suspension, account-level security enforcement, or platform-level changes made by GoDaddy. Buzz Clique is not liable for outages, deliverability issues, data loss, security incidents, or service disruptions resulting from GoDaddy’s infrastructure, policy decisions, or platform changes. Where possible, we will assist clients in resolving issues that arise within these services, but the underlying provider’s terms and limitations govern those services.
AI-Assisted Services
Buzz Clique may use, recommend, or fulfill services through artificial intelligence tools, including services delivered through Momentium AI. AI-generated content, recommendations, and outputs may contain inaccuracies, omissions, or unexpected results and should be reviewed by the client before publication or use. Buzz Clique does not warrant the accuracy, completeness, originality, exclusivity, copyrightability, or fitness for any particular purpose of AI-generated outputs and is not liable for outcomes resulting from a client’s use of such outputs without independent review.
Hosting Environment
Website hosting providers periodically update their server environments — including PHP versions, database software, and server configurations — to maintain the security and stability of their platforms. These updates may affect the compatibility and functionality of software installed on your website. Buzz Clique is not responsible for issues arising from hosting environment changes made by your hosting provider and does not warrant that your website will remain fully functional following such changes.
9. Subcontractors and White-Label Partners
Buzz Clique reserves the right to engage qualified subcontractors, white-label partners, or affiliated service brands to assist in fulfilling services on your behalf. This may be done at our discretion when we determine it will result in a better outcome or a higher quality of service for the client. Any such subcontractors or partners are expected to follow confidentiality standards consistent with our own. Buzz Clique remains your primary point of contact for services purchased directly from Buzz Clique, subject to the limitations, third-party platform terms, and disclaimers stated in these Terms.
10. Client Responsibilities
The successful delivery of our services depends in part on timely client cooperation. Clients are expected to:
- Provide accurate, complete, and lawful content, materials, images, copy, and other inputs needed for the services engaged
- Provide timely access credentials, approvals, feedback, and decisions when requested
- Confirm that they have the legal right to use any content or materials they provide
- Comply with our Acceptable Use Policy at all times
Delays caused by missing client inputs, slow approvals, or incomplete information may extend project timelines and are not the responsibility of Buzz Clique. Buzz Clique is not liable for any consequences arising from inaccurate, incomplete, or unlawful materials provided by the client.
Client Delays and Abandoned Projects
If a project is delayed because the client fails to provide required content, access, approvals, feedback, or decisions, project timelines may be extended. If a client becomes unresponsive for more than thirty (30) days, Buzz Clique may pause the project. If a client remains unresponsive for more than ninety (90) days, the project may be treated as abandoned, and payments made to date may be retained to cover work performed, reserved production time, and administrative costs. Reactivation of an abandoned project may require a new timeline, updated quote, or restart fee.
11. Intellectual Property
Client-Owned Assets
You retain full ownership of your website content, branding, data, and any pre-existing intellectual property you provide to us in connection with our services.
Custom Work Product
If Buzz Clique develops custom code, configurations, designs, or other deliverables specifically for your website or business, Buzz Clique retains ownership of that work product until final payment for the associated project or service has been received in full. Upon receipt of final payment, ownership of the custom work product transfers to you, the client, to the extent such work product is transferable and subject to any third-party licenses, platform terms, pre-existing materials, and reusable assets described in these Terms. Buzz Clique reserves the right to retain copies of work product for internal reference and portfolio purposes unless otherwise agreed in writing.
Portfolio Use
Buzz Clique may reference completed work — including general descriptions, screenshots, and visual examples — in its portfolio, marketing materials, case studies, and promotional content unless the client objects in writing prior to the work being publicly displayed. We will not knowingly publish confidential, sensitive, non-public, white-label, or access-restricted client materials without appropriate permission.
Buzz Clique Property
All content on the buzzclique.com website, including text, graphics, logos, and service descriptions, is the property of Buzz Clique LLC and may not be reproduced or used without our express written permission.
Pre-Existing Materials, Templates, and Internal Tools
Buzz Clique retains ownership of its pre-existing materials, internal processes, templates, frameworks, know-how, tools, reusable code, systems, methods, and non-client-specific materials, even if those items are used to deliver services to a client. Unless expressly stated in writing, clients receive ownership of final client-specific deliverables after final payment, but do not receive ownership of Buzz Clique’s underlying business methods, tools, templates, or reusable assets.
AI-Assisted Outputs
AI-assisted outputs may not be exclusive to the client and may not qualify for copyright protection in all circumstances. Clients are responsible for reviewing AI-assisted materials before publication or commercial use.
12. Cancellation
You may cancel your service at any time. Cancellation requests should be submitted in writing to billing@buzzclique.com. The terms governing refunds or credits upon cancellation, including those applicable to annual plan early termination and hosting, email, and domain services, are outlined in our Refund & Cancellation Policy.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Buzz Clique LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including but not limited to loss of data, loss of revenue, loss of leads, loss of advertising performance, or website downtime.
Our total liability to you for any claim arising out of or related to our services shall not exceed the total amount paid by you to Buzz Clique in the three (3) months immediately preceding the event giving rise to the claim, unless applicable law requires otherwise.
14. Disclaimer of Warranties
Our services and website are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, to the fullest extent permitted by applicable law. We do not warrant that our services will be uninterrupted, error-free, or completely secure. No advice or information obtained from Buzz Clique shall create any warranty not expressly stated in these Terms.
No Guarantee of Results
Buzz Clique provides digital agency services. We do not guarantee or represent that our services will produce any specific business outcomes, improvements in website traffic, search engine rankings, revenue, leads, conversions, ad campaign performance, email deliverability, server uptime, or AI output accuracy. Our role is to perform the services engaged in good faith — outcomes beyond the direct scope of that work are outside of our control and are expressly disclaimed.
Third-Party Tools, Plugins, and Software
We are not responsible for the performance, security, compatibility, or continued availability of any third-party plugins, themes, tools, software, or platforms used in connection with your services. Not all third-party tools are created equal in terms of quality, security, or long-term support. Plugins or platforms that become unsupported, abandoned, or incompatible with updated versions of WordPress, PHP, database software, or other dependencies may reach a point where they can no longer be maintained or kept functional. In such cases, Buzz Clique will make every reasonable effort to notify the client of these limitations, but we are not liable for failures or disruptions that result from a website’s reliance on outdated or unsupported technology.
Third-Party Reseller Services
Hosting, email, domain registration, and related infrastructure services are provided through our reseller partnership with GoDaddy. Use of these services is also subject to GoDaddy’s Universal Terms of Service and any applicable product-specific agreements. Buzz Clique does not warrant the uptime, security, deliverability, performance, or continued availability of these services and is not liable for issues arising from GoDaddy’s infrastructure, policies, or platform changes.
15. Indemnification
You agree to indemnify, defend, and hold harmless Buzz Clique LLC, its owners, employees, subcontractors, affiliated service brands, and partners from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of your use of our services, your breach of these Terms, your violation of our Acceptable Use Policy, or any content or materials you provide to us.
16. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When changes are made, we will update the “Last Updated” date at the top of this page. To the extent permitted by applicable law and the terms of any separate written agreement, continued use of our website or services after updated Terms are posted constitutes your acceptance of those changes. We encourage you to review these Terms periodically.
